Applied Materials Inc. (AMAT), the largest chipmaking-equipment supplier, agreed to acquire Tokyo Electron Ltd. (8035) for $9.39 billion in stock in the largest deal for a Japanese company from outside the country in six years.

Gary Dickerson, who was promoted to chief executive officer of Applied Materials this month, will be CEO of the combined manufacturer, the companies said in a statement. Applied Materials shareholders will own 68 percent of the new entity.

Dickerson, who replaced Mike Splinter as CEO, is moving to consolidate the industry across continents amid slowing demand for equipment used to prepare silicon during the early stages of chip fabrication. Applied Materials in August forecast revenue that missed analysts��estimates for the second straight quarter amid a record slump in the personal-computer market and muted semiconductor demand.

    Lesson 1: Income is king.
    A look at the four funds trading at the highest premiums to net asset value reveals a common thread: They're all focused on maximizing income. What's interesting, though, is that they use different methods to reach the same ends. Among the three PIMCO funds, PIMCO High Income (NYSE: PHK  ) looks largely to the high-yield bond market for its holdings, while PIMCO Corporate & Income Opportunities (NYSE: PTY  ) has a somewhat lower distribution rate but has a sizable allocation to investment-grade debt. QEP Midstream Partners is about to become a real, live master limited partnership. Parent company QEP Resources (NYSE: QEP  ) has filed the appropriate paperwork with the SEC, and while we don't know specifics regarding the number of shares, or how the offering will be priced, the S-1 is chock-full of information for prospective investors.

The assets
According to the prospectus, the new MLP will trade under ticker symbol "QEPM" and will command the following midstream systems that formally belonged to QEP Resources:

Green River Gathering Rendezvous Pipeline Vermillion Gathering Williston Gathering Rendezvous Gas Services (78% stake) Three Rivers Gathering (50% stake)

QEP Midstream provides all of its gathering services through fee-based contracts, which means there are no ups and downs from commodity risk -- just stable, predictable income. This is pretty common for midstream partnerships borne of an oil company spinoff. Holly Energy Partners is a perfect example. Its revenue is 100% fee-based because HollyFrontier (NYSE: HFC  ) is more or less its only customer.

That's not how it happened though. Since the pullback, SSN has perked up again, perhaps not as hot as it was with the initial rally at the end of last month, but more than hot enough to get my attention.     On the surface, offshore drilling stocks appear inexpensive with multiples at the low end of historical ranges and many stocks trading below book values. While contrarian and deep value players are beginning to nibble, we believe the offshore floating rig companies are still in the early innings of a cyclical downturn in utilization and dayrates. After a decade of good times, the deepwater drilling rig market is facing a multiyear down-cycle. Historically, most offshore drilling cycles have been short-lived as there have usually been sudden demand shocks that tend to self correct relatively quickly. This time, it is more of a new rig supply problem compounded by a moderation in offshore spending from the suddenly ��eturn driven��multinational major oil companies. That means this down-cycle should be more drawn out than usual. Specifically, we think the downturn will take about three years to play out with average floater day-rates falling about 25% with over 60 floating rigs needing to be stacked (either warm stacked or cold stacked). More importantly for investors, we think consensus 2016 floater estimates (on average) are still about 25% too high. Put another way, earnings multiples are not as attractive as some now think, in our view. Obviously, the lower-end, older floating assets will be hit the hardest. While everyone loses in this environment, we are more comfortable in owning companies with higher-quality assets that also carry higher floater contract coverage, as we expect this to provide relative safety during this downturn. Specifically, we relatively favor Ocean Rig UDW (ORIG), Pacific Drilling (PACD), and Rowan, given their high-specification exposure. The long-term mortgage portfolio includes adjustable rate and fixed rate Alt-A single-family residential mortgages and commercial (primarily multifamily residential loans) mortgages that were acquired and originated by the Company. Alt-A mortgages are primarily first lien mortgages made to borrowers whose credit is within typical Fannie Mae and Freddie Mac guidelines, but have loan characteristics that make them non-conforming under those guidelines. Commercial mortgages in the long-term mortgage portfolio are adjustable rate mortgages with initial fixed interest rate periods of two-, three-, five-, seven- and 10-years that subsequently convert to adjustable rate mortgages (hybrid ARMs).

    Impac Mortgage has a market cap of $89 million and an enterprise value of $6.05 billion. This stock trades at a premium valuation, with a forward price-to-earnings of 124.10. This is not a cash-rich company, since the total cash position on its balance sheet is $14.15 million and its total debt is a whopping $5.98 billion.

    A beneficial owner just bought 77,863 shares, or about $782,000 worth of stock, at $10 to $10.05 per share.

    From a technical perspective, IMH is currently trending below both its 50-day and 200-day moving averages, which is bearish. This stock has been trending sideways in a consolidation pattern for the last month, with shares moving between $9.80 on the downside and $10.90 on the upside. A high-volume move above the upper-end of its sideways trading chart pattern soon could trigger a big breakout trade for shares of IMH.

     

    If you're bullish on IMH, then look for long-biased trades as long as this stock is trending above some key near-term support at $9.80 and then once it breaks out above some near-term overhead resistance levels at $10.50 to $10.90 a share with high volume. Look for a sustained move or close above those levels with volume that hits near or above its three-month average volume of 29,759 shares. If that breakout triggers soon, then IMH will set up to re-test or possibly take out its next major overhead resistance levels at $11.88 to $11.95. Any high-volume move above those levels will then give IMH a chance to tag $14.

    In this series, I examine inventory using a simple rule of thumb: Inventory increases ought to roughly parallel revenue increases. If inventory bloats more quickly than sales grow, this might be a sign that expected sales haven't materialized. Is the current inventory situation at Wright Medical Group (Nasdaq: WMGI  ) out of line? To figure that out, start by comparing the company's inventory growth to sales growth. How is Wright Medical Group doing by this quick checkup? At first glance, pretty well. Trailing-12-month revenue decreased 5.3%, and inventory decreased 10.1%. LONDON -- I'm a big fan of Diageo (LSE: DGE  ) (NYSE: DEO  ) . The world's largest producer of premium spirits is a core holding in my portfolio, though I've done a little profit-taking as the stock has powered ahead -- up a third over the past 12 months.

I'm less familiar with South African-based SABMiller (LSE: SAB  ) (NASDAQOTH: SBMRY  ) , though its market cap is slightly larger than Diageo after its shares are up 50% over the year. I think of it as expensive, but a quick check on my data provider shows the two shares equally rated with prospective price-to-earnings (P/E) ratios of 19.7 and yields of 2.3% for Diageo and 2.2% for SABMiller. So maybe it's time to do a little portfolio rebalancing.

First of all, what's so good about Diageo? It ticks a lot of boxes: defensive sector, strong brands, global footprint, and emerging market growth. I like stocks that are plays on emerging market consumers.
